Terms of Service & Regulatory Operations Framework

1. Statutory Licensing & Regulatory Status

NovaLink Global Solutions Limited ("NovaLink", "Platform", "we", "us", or "our") operates as a registered international employment agency licensed and accredited under the National Employment Authority (NEA) Regulations of the Republic of Kenya.

These Terms of Service ("Terms") constitute a legally binding agreement between NovaLink and all users accessing our digital platform, candidate portals, employer portals, or in-person consultation facilities at Commercial Plaza, Nairobi HQ.

By registering an account, booking an appointment, submitting a job application, or issuing a workforce request, you accept these Terms in full. If you disagree with any part of these Terms, you must immediately cease using our services.


2. Mandatory Candidate Terms & Zero Placement Fee Guarantee

In strict compliance with section 55 of the Kenya Labour Institutions Act, National Employment Authority guidelines, and ILO Convention No. 181:

A. Zero Placement Fees - Job candidates and applicants pay ZERO placement or recruitment fees to NovaLink. - NovaLink officers, staff, and representatives are strictly prohibited from demanding or accepting recruitment commissions, placement kickbacks, or gifts from job seekers. - Any legitimate third-party expenses (e.g. government passport fees, GAMCA medical examination charges, embassy visa fees, police clearance certificates) are paid directly to authorized government bodies or accredited medical centers with official receipts.

B. Candidate Warranties & Document Authenticity - Candidates must be at least 18 years of age and legally eligible to seek employment. - Candidates warrant that all uploaded CVs, academic transcripts, trade test certificates, professional licenses, and identity documents are 100% genuine and unaltered. - Provision of fraudulent certificates or forged passports will result in immediate permanent account termination, cancellation of visa applications, and mandatory referral to law enforcement authorities (Directorate of Criminal Investigations).


3. Employer KYB Verification & Operational Terms

A. Corporate Know Your Business (KYB) Clearance To protect candidates from fraudulent or unsafe employment, all corporate employers, recruitment partners, and host families must complete KYB verification prior to publishing vacancies: - Employers must submit valid trade licenses, certificate of incorporation, tax registration certificates, and embassy-attested demand letters. - NovaLink reserves the right to reject employer accounts or freeze vacancies failing compliance checks.

B. Employment Contract & Labor Standards Employers contracting candidate talent through NovaLink explicitly agree to: - Honor all advertised basic monthly salaries, overtime terms, and contractual allowances. - Comply with Wage Protection System (WPS) regulations or destination labor laws ensuring timely monthly salary disbursement. - Provide government-mandated medical insurance, safe accommodation, round-trip flight tickets, and visa sponsorship without salary deductions. - Guarantee safe working conditions free from discrimination, harassment, or physical harm.


4. Scope of Agency & Visas / Immigration Disclaimer

  • Role of NovaLink: NovaLink operates strictly as an intermediary facilitator for candidate screening, trade testing, interview scheduling, document preparation, and visa submission.
  • Government Prerogative: Final approval, issuance, or rejection of entry visas, work permits, residency permits, or embassy attestations rests solely with the competent government immigration authorities of the destination country (e.g. UAE Ministry of Human Resources & Emiratisation, Qatar Ministry of Interior, German Federal Employment Agency).
  • NovaLink does not issue visas directly and makes no fraudulent guarantee of visa issuance where immigration requirements are unmet.

5. Appointment Booking & Nairobi HQ Consultation Rules

  • Candidate Consultations: In-person appointments at Nairobi HQ are strictly scheduled on a verified, one-on-one basis to prevent overcrowding and ensure candidate safety.
  • Cancellation & Rescheduling: Candidates and employers may reschedule or cancel appointments up to 12 hours prior to the scheduled time via their dashboard or by contacting help desk officers.
  • Identification Requirement: Visitors to Nairobi HQ must present valid original Kenyan National IDs or Passports matching their appointment registration.

6. Prohibited Platform Activities

Users (both candidates and employers) agree not to: - Solicit, harvest, or bypass NovaLink to conduct unauthorized side transactions violating placement contracts. - Transmit malicious code, spam, unverified advertisements, or offensive content through candidate/employer messaging portals. - Misrepresent credentials, company identity, or corporate authorization. - Reverse engineer, scrape, or extract platform database assets without written authorization.


7. Limitation of Liability & Indemnification

  • To the maximum extent permitted by applicable law, NovaLink shall not be liable for indirect, incidental, punitive, or consequential damages resulting from employer breach of overseas employment contracts post-deployment, candidate unresponsiveness, or third-party immigration delays.
  • Employers agree to indemnify and hold harmless NovaLink, its directors, officers, and employees against any claims, losses, or legal liabilities arising from corporate non-compliance with overseas labor laws or safety standards.

8. Governing Law & Dispute Resolution

  • Jurisdiction: These Terms are governed by and construed in accordance with the Laws of the Republic of Kenya.
  • Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms shall first be referred to amicable negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to arbitration under the Nairobi Centre for International Arbitration (NCIA) Rules.
